Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Son of a Good Man LLC ("Company," "we," "our," or "us"), a corporation located in Pasadena, California. These Terms govern your access to and use of the ReciKey mobile application, the recikey.sonofagoodman.com website, and any related services (collectively, the "Services"). Other Son of a Good Man LLC products (such as Shelfmark) are governed by their own separate terms.
BY ACCESSING OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.

1. Eligibility
You must be at least 13 years old (or the minimum legal age in your jurisdiction, if higher) to use the Services.
By using the Services, you represent that:
- You are at least 13 years old (or the minimum legal age in your jurisdiction);
- You have the legal capacity to enter into these Terms;
- Any information you provide is accurate and truthful; and
- You will comply with all applicable laws.
Children Under 13. ReciKey is not directed to children under 13, and we do not knowingly collect personal information from children under 13. If we learn that we have collected personal information from a child under 13, we will delete it promptly. If you are a parent or guardian and believe your child has provided us with personal information, please contact support@sonofagoodman.com so we can take appropriate action.
2. Accounts
2.1 Account Responsibility
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
2.2 Accurate Information
You agree to provide accurate and complete information and keep it updated.
2.3 Account Suspension
We reserve the right to suspend or terminate accounts that violate these Terms.
3. Description of Services
Son of a Good Man LLC provides ReciKey, a digital tool designed to help users organize, preserve, and share family recipes and culinary heritage, including:
- Recipe preservation tools (text, photo, voice, and video)
- AI-assisted transcription and recipe structuring
- Family tree and family-recipe sharing
- Community and content tools
Features may change, improve, or be discontinued at any time.
AI Notice: Some features may use automated or AI-assisted processing. AI outputs may not always be accurate and should be reviewed by users.
4. Subscriptions and Payments
ReciKey offers a free tier with usage limits, plus paid Individual and Family subscription plans with expanded features. Current pricing for each plan is shown within the app and on the App Store / Google Play product page.
### 4.1 App Store Purchases
If you purchase through the Apple App Store or Google Play:
- Payments are processed by Apple or Google
- Subscriptions automatically renew unless canceled
- Pricing and billing are governed by the respective app store
4.2 Auto-Renewing Subscriptions
ReciKey offers auto-renewing subscriptions in monthly and yearly billing periods. Current pricing for each subscription option is shown within the app and on the App Store / Google Play product page before purchase.
By starting a subscription, you agree that:
- Payment will be charged to your Apple ID account or Google Play account at confirmation of purchase.
- Auto-renewal: Your subscription will automatically renew at the end of each billing period at the same price unless you cancel auto-renewal at least 24 hours before the end of the current period.
- Renewal charge: Your account will be charged for renewal within 24 hours prior to the end of the current period.
- Free trial forfeiture (if a free trial is offered): Any unused portion of a free trial period is forfeited when you purchase a subscription that includes that free trial.
- Managing your subscription: You can manage your subscription and turn off auto-renewal at any time in your Apple ID account settings (Settings → [your name] → Subscriptions on iOS) or Google Play account settings (Play Store → Account → Subscriptions on Android). Cancellations take effect at the end of the current billing period.
- Account deletion is not cancellation: Deleting your ReciKey account does NOT cancel your App Store or Google Play subscription. You must cancel separately through your Apple or Google account.
4.3 Refunds
All billing and refunds for in-app purchases are handled by Apple or Google and are subject to their policies.
4.4 Apple App Store — Special Terms
If you obtain ReciKey through the Apple App Store, the following additional terms apply:
1. Acknowledgment. You acknowledge that these Terms are between you and Son of a Good Man LLC only, and not with Apple Inc. ("Apple"). Apple is not responsible for ReciKey or its content.
2. Scope of License. The license granted to you for ReciKey is a non-transferable license to use ReciKey on any Apple-branded device that you own or control, as permitted by the Apple Media Services Terms.
3. Maintenance and Support. Son of a Good Man LLC is solely responsible for providing any maintenance and support services for ReciKey. Apple has no obligation whatsoever to furnish maintenance or support services.
4. Warranty. In the event of any failure of ReciKey to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for ReciKey to you. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to ReciKey, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty are the sole responsibility of Son of a Good Man LLC.
5. Product Claims. Son of a Good Ma LLC, not Apple, is responsible for addressing any claims by you or any third party relating to ReciKey, including but not limited to: (i) product liability claims; (ii) any claim that ReciKey fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.
6. Intellectual Property Rights. In the event of any third-party claim that ReciKey or your possession and use of ReciKey infringes that third party's intellectual property rights, Son of a Good Man LLC, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.
7. Legal Compliance. You represent and warrant that (i) you are not located in a country that is subject to a U.S. government embargo, or that has been designated by the U.S. government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. government list of prohibited or restricted parties.
8. Third-Party Beneficiary. You acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of these Terms, and that, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
4.5 Family Plans
Family Plan and Family Plus subscriptions allow up to 6 (Family) or 12 (Family Plus) family members to share one paid subscription. Each member receives full access to paid features while the subscription is active. The subscription owner is responsible for all payments. If the owner cancels the subscription or downgrades, members may lose access to paid features at the end of the current billing period.
Family Plan billing seats are separate from the free family recipe and family-tree sharing feature available to all users (described in Section 6).
5. User Content
5.1 Ownership
You retain ownership of content you upload (recipes, images, notes, audio, etc.).
5.2 License to Us
By uploading content, you grant Son of a Good Man LLC a limited, non-exclusive license to:
- Host
- Store
- Process
- Display
your content solely to operate and improve the Services.
5.3 Content Responsibility & AI Processing
You are responsible for your content. You agree not to upload content that:
- Violates any law
- Infringes intellectual property rights
- Contains malicious code
- Is abusive, defamatory, or fraudulent
Some content may be processed by automated systems or AI features to provide functionality.
6. Family Sharing Features
Family recipe sharing and family-tree sharing in ReciKey are free and unlimited for all users, regardless of subscription tier. (Multi-seat subscription billing for Family Plans is described separately in Section 4.5.)
You acknowledge that:
- You control what content you share
- We are not responsible for disputes between users
- Copies of content shared with others may persist even if you later remove access
- You should share content only with trusted individuals
7. Prohibited Uses
You agree not to:
- Reverse engineer or copy the Services
- Use the Services for unlawful purposes
- Attempt unauthorized access
- Interfere with security
- Use automated scraping without permission
- Upload harmful code or malware

8. Intellectual Property
All content, trademarks, logos, software, and design elements of the Services (excluding user content) are the property of Son of a Good Man LLCand are protected by intellectual property laws.
You may not use our branding without prior written permission.
ReciKey™ and the ReciKey logo are trademarks of Son of a Good Man LLC. Other product names, logos, and brands referenced in the Services are the property of their respective owners.
9. Third-Party Services
The Services may integrate with third-party providers, including but not limited to:
- Apple
- Authentication providers
- Cloud infrastructure providers
- Analytics services
We are not responsible for third-party services.
9.1 Mobile Data and Device Costs
You are responsible for any mobile data, internet connectivity, device storage, or other costs incurred while using the Services. We are not responsible for charges from your mobile carrier or internet service provider.
10. Privacy and Your Data Rights
Your use of the Services is also governed by our [Privacy Policy](https://www.sonofagoodman.com/legal/recikey-privacy-policy), which is incorporated into these Terms by reference.
Subject to applicable law, you have the following rights with respect to your personal data:
- Access and Portability. You may export your recipe data, family tree, and account information from within ReciKey at any time (Settings → Export My Data).
- Correction. You may correct inaccurate personal information from within the app at any time (Settings → Account).
- Deletion. You may permanently delete your account and all associated data either from within the app (Settings → Delete Account) or via our public deletion request page at [https://www.sonofagoodman.com/request-account-deletion](https://www.sonofagoodman.com/request-account-deletion). Deletion requests are processed within 30 days.
- Withdrawal of Consent. Where we rely on your consent to process your data, you may withdraw that consent at any time.
For California Residents (CCPA / CPRA): We do not sell or share your personal information for cross-context behavioral advertising as those terms are defined under California law. You have the right to know what personal information we collect, to request deletion, and to be free from discrimination for exercising your rights.
For EU / EEA / UK Residents (GDPR / UK GDPR): Son of a Good Man LLC. is the data controller for your personal information. You have the additional rights to lodge a complaint with your local supervisory authority and to object to certain processing. To exercise GDPR rights, contact support@sonofagoodman.com.

## 11. Copyright Complaints (DMCA)
Son of a Good Man LLC respects the intellectual property rights of others and expects users to do the same. We will respond to claims of copyright infringement that comply with the Digital Millennium Copyright Act (DMCA).
To file a DMCA notice, send a written notice to our designated agent that includes:
1. A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
2. Identification of the copyrighted work claimed to have been infringed;
3. Identification of the material that is claimed to be infringing or to be the subject of infringing activity, with sufficient information to permit us to locate it (e.g., a URL or recipe ID);
4. Your contact information (address, phone number, and email);
5. A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law;
6. A statement, made under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the owner.

Counter-notice. If you believe content you uploaded was removed in error, you may submit a counter-notice that includes your contact information, identification of the material, a statement under penalty of perjury that you have a good-faith belief that the removal was a mistake, and your consent to the jurisdiction of the federal district court for the district in which your address is located.
Repeat Infringer Policy. We will terminate accounts of users who are determined to be repeat infringers in appropriate circumstances.
12. Termination
We may suspend or terminate your access if:
- You violate these Terms
- Required by law
- Continued service becomes impractical
You may stop using the Services at any time.
Deleting Your Account. You may delete your ReciKey account at any time:
- From within the app: Settings → Account → Delete Account; or

Account deletion is permanent and is processed within 30 days. Deleting your account does NOT cancel any active App Store or Google Play subscription — you must cancel that separately through your Apple or Google account (see Section 4.2).
13. AI and Automated Features Disclaimer
Certain features may use artificial intelligence or automated processing.
You acknowledge that:
- AI outputs may be incomplete or inaccurate
- AI features are provided for convenience only
- You are responsible for reviewing and verifying results
- We are not liable for decisions made based on AI output
14. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
To the maximum extent permitted by law, Son of a Good Man LLC disclaims all warranties, including:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
We do not guarantee the Services will be uninterrupted or error-free.
15. Indemnification
You agree to defend, indemnify, and hold harmless Son of a Good Man LLC from any claims, damages, losses, liabilities, and expenses arising from:
- Your use of the Services
- Your violation of these Terms
- Your uploaded content
- Your infringement of any rights of another
16. Governing Law and Dispute Resolution
16.1 Governing Law
These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of California, U.S.A., without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
16.2 Informal Resolution
Before filing a formal claim, you agree to attempt to resolve the dispute informally by contacting support@sonofagoodman.com. We will attempt to resolve the dispute informally within 60 days of receiving your notice.
16.3 Binding Arbitration
Except as set out in Section 16.5, any dispute, claim, or controversy arising out of or relating to these Terms or the Services that cannot be resolved informally will be resolved by binding individual arbitration administered by JAMS in accordance with its Streamlined Arbitration Rules and Procedures. The arbitration will be conducted in Los Angeles County, California, in English. The arbitrator's decision will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
16.4 Class Action Waiver
YOU AGREE THAT ALL DISPUTES WILL BE RESOLVED INDIVIDUALLY AND NOT AS PART OF ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO A JURY TRIAL.
16.5 Exceptions
Nothing in this Section 16 prevents either party from (i) seeking injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property rights, or (ii) bringing an action in small claims court for disputes within that court's jurisdiction.
16.6 Opt-Out
You may opt out of the arbitration agreement in Section 16.3 and the class action waiver in Section 16.4 by sending written notice to support@sonofagoodman.com within 30 days of first accepting these Terms. Your opt-out notice must include your name, the date you accepted these Terms, and a clear statement that you wish to opt out of the arbitration agreement.
17. Changes to These Terms and the Services
17.1 Changes to the Services
We reserve the right, at our discretion, to modify, add, or discontinue features, change pricing, set or modify usage limits, or otherwise change the Services at any time. We will use reasonable efforts to provide notice of material changes affecting paid features.
17.2 Changes to These Terms
We may update these Terms from time to time. When we do:
- The "Last Updated" date at the top will reflect the most recent revision.
- For material changes (changes that significantly affect your rights or obligations), we will provide at least 30 days' advance notice by posting a notice within ReciKey, on this page, and (where we have your email address on file) by email.
- Your continued use of the Services after the effective date of any change constitutes acceptance of the revised Terms. If you do not agree to a change, you must stop using the Services and may delete your account.

18. Limitation of Liability
To the fullest extent permitted by law, Son of a Good Man LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
Our total liability for any claim shall not exceed the amount you paid (if any) to use the Services in the 12 months preceding the claim.
19. General Provisions
19.1 Severability
If any provision is found unenforceable, the remaining provisions remain in effect.
19.2 Assignment
We may assign these Terms in connection with a merger, acquisition, or sale.
19.3 Force Majeure
We are not liable for delays caused by events beyond our reasonable control.
19.4 Entire Agreement
These Terms constitute the entire agreement between you and the Company.
19.5 Waiver
Failure to enforce any provision is not a waiver of our rights.
